- Governed by Delaware (USA) law; disputes go to binding arbitration.
This document governs use of an invitation-only investor console. It is NOT an offer or solicitation of securities. Do not reproduce, summarize for redistribution, or extract confidential materials behind the access gate. 01 Acceptance
By accessing the Stellaria Capital (“Stellaria”) console (the “Platform”), you agree to these Terms of Use. If you do not agree, do not access the Platform. Access is extended by invitation to qualified investors and may be withdrawn at any time.
02 No Offer of Securities
The Platform and its contents are provided for informational purposes only and do not constitute an offer to sell, or a solicitation of an offer to buy, any security. Any offering is made solely to qualified investors pursuant to confidential offering materials and definitive agreements.
03 Eligibility & Invitation
The Platform is restricted to qualified institutional and accredited investors who have received an invitation. You represent that you meet these criteria and that the credentials provisioned to you are used only by you.
04 Progressive Access & Monitoring
Access is granted in stages — Registered, NDA-Signed, Verified, Partner — each unlocking more of the data room. We monitor and log every entry, view, and download for security, compliance, and audit. We may suspend or revoke access at our sole discretion.
05 Confidentiality
All materials are confidential and proprietary. You may not copy, reproduce, distribute, publish, or disclose them to any third party, and you may not use automated tools to scrape, mirror, or extract them. Confidentiality obligations survive termination of access.
06 Acceptable Use
You agree not to (a) circumvent access controls; (b) share credentials; (c) reverse-engineer the Platform; or (d) use it for any unlawful purpose. We may rate-limit, gate, or block automated access that is not expressly authorized.
07 Intellectual Property
The Platform, the Stellaria marks, and all content are owned by Stellaria Capital or its licensors. No license is granted except the limited right to view materials for your evaluation as an invited investor.
08 Forward-Looking Statements
Materials may contain projections and forward-looking statements. Past performance is not indicative of future results; investments involve risk, including the possible loss of principal. Figures are estimates and subject to change without notice.
09 Limitation of Liability
The Platform is provided “as is.” To the fullest extent permitted by law, Stellaria Capital disclaims all warranties and is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
10 Governing Law & Arbitration
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute will be resolved by binding arbitration, except that either party may seek injunctive relief to protect confidential information.
11 Changes
We may update these Terms from time to time. Material changes will be reflected in the “Effective” date above; continued use after changes constitutes acceptance.
